Concluzia
On the label this is a 'mutual' NDA — both sides promise to keep each other's secrets while exploring a deal. In practice, three clauses tilt it toward Vantage. The residuals clause (Section 3) is the big one: anything their people 'remember' from your confidential information, they can use freely, forever — a memory-sized loophole in the whole agreement, and it only runs in THEIR favor. The definition of confidential information is extremely broad (anything said, written, or even observed, marked or not), which sounds protective but mostly creates risk for whoever handles more of the other side's information. And the obligations are asymmetric in small ways that add up: you must certify destruction of their data in 10 days; they only owe 'commercially reasonable efforts'. A five-year confidentiality tail plus injunctive relief without bond is aggressive but survivable. Overall: a usable NDA after you strike or mutualize the residuals clause — do not sign it as-is if your know-how is the valuable part of the conversation.

1. Definition of Confidential Information

That sounds protective, but a definition this broad is hard to comply with and hard to enforce: you can breach it without knowing, and courts sometimes refuse to enforce definitions that swallow everything. It also protects the drafter more, because you'll likely handle more of their material than they handle of yours.

Ask to require written information to be marked 'Confidential' and oral disclosures to be confirmed in writing within 30 days. That's the market standard and protects both sides equally.
2. Obligations

3. Residuals — the memory loophole

Ask for the residuals clause to be deleted — many companies drop it when challenged. If they insist, make it strictly mutual AND exclude your core know-how by name. Never discuss your 'secret sauce' while a one-way residuals clause is in force.
4. Term and Survival

“This Agreement takes effect on the date of signature and continues for two (2) years. The confidentiality obligations survive for five (5) years after termination or expiry, and indefinitely for trade secrets.”

You're bound to secrecy for up to seven years total (2-year term + 5-year tail), and forever for trade secrets. Market standard is a 3-year tail; five is long but not outrageous. The indefinite trade-secret carve-out is normal.

6. Return or Destruction — asymmetric homework

Spot the asymmetry: you must return/destroy and CERTIFY within 10 business days; they only owe 'commercially reasonable efforts' with no deadline and no certificate. Small clause, but it shows who the document was written for.

Make the obligation identical in both directions — same deadline, same written certification. Also add the standard carve-out for automatic IT backups, or you can't technically comply.
7. Injunctive Relief without bond

8. Non-Solicitation

9. Governing Law and Jurisdiction
